FanaticFantasyFootball.com LLC provides the Fanatic Services (defined below) to you subject to the following Terms of Service "TOS", which may be updated by us from time to time without notice to you. By accessing and using the FanaticFantasyFootball.com LLC Services, you accept and agree to be bound by the terms and provision of the TOS. In addition, when using particular FanaticFantasyFootball.com LLC owned or operated services, you and FanaticFantasyFootball.com LLC shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS. Fanatic may also offer other services that are governed by different Terms of Service. For instance, different terms apply to advertisers on FanaticFantasyFootball.com LLC.

AMENDMENT
We may, in our sole discretion, modify, restrict, change, or otherwise alter the Agreements or the Web Site, in whole or in part, impose limits on certain features or Services on the Web Site or restrict your access to part or all of the Web Site. By continuing to access and use the Web Site you will be evidencing your consent to, agreement with, and understanding of, such modifications, changes or alterations. We may not notify you of changes, alterations or modifications to the Agreements that are necessary or desirable, as we determine in our sole discretion.
3.YOUR REGISTRATION OBLIGATIONS
In consideration of your use of the FanaticFantasyFootball.com LLC Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving the FanaticFantasyFootball.com LLC Services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) You must be at least 18 years of age to open an account, and be an eligible Legal Resident of the United States or Canada. Legal residents of all 50 states and Washington DC, excluding Arizona, Iowa, Louisiana, Maryland, Montana and Vermont, are eligible to open an account offered by the web site. Legal residents of the excluded states are not allowed to open or maintain accounts on the Web Site. Legal Residents of Canada, excluding Quebec, are eligible to open an account and participate in the FanaticFantasyFootball.com LLC leagues and the services offered by the Web Site. (b) provide true, accurate, current and complete information about yourself as prompted by the Fanatic Service's registration form (the "Registration Data") and (c) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or FanaticFantasyFootball.com LLC has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, FanaticFantasyFootball.com LLC has the right to suspend or terminate your account and refuse any and all current or future use of the FanaticFantasyFootball Services (or any portion thereof). FanaticFantasyFootball.com LLC is concerned about the safety and privacy of all its users, particularly children. For this reason, parents of children under the age of 13 who wish to allow their children access to the FanaticFantasyFootball.com LLC Services must create a Fanatic Family Account. When you create a Fanatic Family Account and add your child to the account, you certify that you are at least 18 years old and that you are the legal guardian of the child/children listed on the Fanatic Family Account. By adding a child to your Fanatic! Family Account, you also give your child permission to access many areas of the Fanatic Services, including, email, message boards and instant messaging (among others). Accordingly, as the legal guardian, it is your responsibility to determine whether any of the Fanatic! Services areas and/or Content are appropriate for your child.

ONLINE CONDUCT
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not FanaticFantasyFootball.com LLC, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Fanatic Services. FanaticFantasyFootball.com LLC does not control the Content posted via the Fanatic Services and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the FanaticFantasyFootball.com LLC Services, you may be exposed to Content that is offensive or objectionable. Under no circumstances will FanaticFantasyFootball.com LLC be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Fanatic Services.
You agree to NOT use the FanaticFantasyFootball.com LLC Services to:
a. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable
b. harm minors in any way
c. impersonate any person or entity, including, but not limited to, a FanaticFantasyFootball.com LLC official, forum/blog leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity
d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through FanaticFantasyFootball.com LLC Service
e. upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements)
f. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
g. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (such as shopping) that are designated for such purpose.

h. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment
i. act in a manner that negatively affects other users' ability to engage in real time exchanges
j. interfere with or disrupt the FanaticFantasyFootball.com LLC Services or servers or networks connected to the Fanatic Services, or disobey any requirements, procedures, policies or regulations of networks connected to the FanaticFantasyFootball.com LLC Services, including using any device, software or routine to bypass our robot exclusion headers;
k. FantasyFantasyFootball.com LLC promotes and supports active and open debate among its members. All we ask is that it's done in a lawful and civil manner - be it on, blogs or other Community Areas or using our systems to message other members directly ("User Content"). Accordingly, you agree to use the Web Sites for lawful purposes only. You may not use or allow others to use your Web Site account to: Post or transmit any content that is abusive, vulgar, obscene, hateful, fraudulent, threatening, harassing, defamatory, or which discloses private or personal matters concerning any person; Post or transmit any material that you don't have the right to transmit under law (such as copyright, trade secret or securities) or under contractual or fiduciary relationships (such as nondisclosure agreements); Post, transmit, or link to sexually explicit material; Impersonate any person, or falsely state or otherwise misrepresent your affiliation with a person or entity; Post or transmit any advertising, promotional materials, or other forms of solicitation including chain letters and pyramid schemes; Intentionally violate any other applicable law or regulation while accessing and using the Web Site; Post or transmit any file that contains viruses, corrupted files, "Trojan Horses," or any other contaminating or destructive features that may damage someone else's computer.
5.CONTENT SUBMITTED OR MADE AVAILABLE
FanaticFantasyFootball.com LLC does not claim ownership of Content you submit or make available for inclusion on the Fanatic Services. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Fanatic Services, you grant FanaticFantasyFootball.com LLC the following worldwide, royalty-free and non-exclusive license(s), as applicable:
a. With respect to Content you submit or make available for inclusion on publicly accessible areas of FanaticFantasyFootball.com LLC, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the FanaticFantasyFootball.com LLC.
b. FanaticFantasyFootball.com LLC may at any time, without prior notice and at our sole discretion, remove any post or terminate your membership for violating the above provisions. You agree to indemnify FanaticFantasyFootball.com LLC and hold us harmless from any actions, claims, proceedings, or liabilities arising out of your violation of these terms and conditions. You're responsible for all statements made and acts that occur through the use of your user name and password. So please don't disclose your password to anybody. If it has been lost or stolen, let us know as soon as possible.

INDEMNITY
You agree to indemnify and hold FanaticFantasyFootball.com LLC and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Fanatic Services, your use of the Fanatic Services, your connection to the Fanatic Services, your violation of the TOS, or your violation of any rights of another.
7.PAYMENT FOR SERVICES
Users agree to pay for services offered by FanaticFantasyFootball.com LLC. All charges to User's accounts, including applicable taxes, in accordance with billing terms in effect at the time the fee or charge becomes payable. FanaticFantasyFootball.com LLC reserves the right to change the amount of, or basis for determining, any fees or charges for the Services, and to institute new fees or charges effective upon prior notice to Users.
User's right to use the Services is subject to any limits established by FanaticFantasyFootball.com LLC or, where applicable, by User's credit card issuer. If payment cannot be charged to User's credit card or User's charge is returned to FanaticFantasyFootball.com LLC for any reason, FanaticFantasyFootball.com LLC reserves the right to either suspend or terminate User's access and account, thereby terminating this Agreement and all obligations of FanaticFantasyFootball.com LLC hereunder. FanaticFantasyFootball.com LLC agrees that it will terminate User's account upon proper notice from User. If a User has reason to believe that his/her account is no longer secure (for example, in the event of a loss, theft or unauthorized disclosure or use of User's ID, password, or any credit, debit or charge card number stored on the Services), User must promptly change his/her password and notify FanaticFantasyFootball.com LLC of the problem to avoid possible liability for any unauthorized charges to User's account.
8.NO COMMERCIAL REUSE OF SERVICES
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion or use of, or access to, the FanaticFantasyFootball.com LLC Services (including Content, advertisements and software).
9.MODIFICATIONS
FanaticFantasyFootball.com LLC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Fanatic Services (or any part thereof) with or without notice. You agree that FanaticFantasyFootball.com LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Fanatic Services (or any part thereof).

11.LINKING POLICY

You acknowledge and agree that FanaticFantasyFootball.com LLC is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that FanaticFantasyFootball.com LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.
12.THIRD PARTY CONTENT AND INFORMATION

You further acknowledge and agree that Content contained in advertisements or information presented to you through the Fanatic Services or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly permitted by applicable law or as authorized by FanaticFantasyFootball.com LLC or the applicable licensor (such as an advertiser), you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, publicly perform or create derivative works based on the Fanatic Services, such Content or the Software, in whole or in part.
FanaticFantasyFootball.com LLC grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work from, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. THE COMPANY ENTITIES AND INDIVIDUALS ARE NOT RESPONSIBLE FOR ANY DAMAGE TO ANY USER'S COMPUTER, HARDWARE, COMPUTER SOFTWARE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION.

You agree that all of FanaticFantasyFootball.com LLC's trademarks, trade names, service marks and other Fanatic logos and brand features, and product and service names are trademarks and the property of FanaticFantasyFootball.com LLC ("Fanatic Marks"). Without FanaticFantasyFootball.com LLC's prior permission, you agree not to display or use in any manner the Fanatic Marks.
18.MAKING CLAIMS OF © / ™ INFRINGEMENT
FanaticFantasyFootball.com LLC respects the intellectual property of others, and we ask our users to do the same. FanaticFantasyFootball.com LLC may, in appropriate circumstances and at its discretion, disable and/or terminate the accounts of users who may be repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide FanaticFantasyFootball.com LLC's Copyright Agent the following information:

GENERAL INFORMATION
Entire Agreement: The TOS constitutes the entire agreement between you and FanaticFantasyFootball.com LLC and governs your use of the Fanatic Services, superseding any prior version of this TOS between you and FanaticFantasyFootball.com LLC with respect to the Fanatic Services. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other FanaticFantasyFootball.com LLC services, affiliate services, third-party content or third-party software.
Choice of Law and Forum: You and FanaticFantasyFootball.com LLC each agree that the TOS and the relationship between the parties shall be governed by the laws of the State of Nevada without regard to its conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to the TOS, or the relationship between you and FanaticFantasyFootball.com LLC, shall be brought exclusively in the courts located in the county of Clark, Nevada. You and FanaticFantasyFootball.com LLC agree to submit to the personal jurisdiction of the courts located within the county of Clark, Nevada and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.
Waiver and Severability of Terms: The failure of FanaticFantasyFootball.com LLC to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
Statute of Limitations: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the FanaticFantasyFootball.com LLC Services or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
